接著前面的討論，今天我們?cè)囍鴮?duì)FIDIC1999施工合同文本Conditions of Contract for Construction中的13. Variations and Adjustment“13變更和調(diào)整”條款中剩下的部分進(jìn)行翻譯、點(diǎn)評(píng)。

原文1：13.5 Provisional Sums

Each Provisional Sum shall only be used， in whole or in part， in accordance with the Engineer’s instructions， and the Contract Price shall be adjusted accordingly. The total sum paid to the Contractor shall include only such amounts， for the work， supplies or services to which the Provisional Sum relates， as the Engineer shall have instructed. For each Provisional Sum， the Engineer may instruct：

（a） work to be executed （including Plant， Materials or services to be supplied） by the Contractor and valued under Sub-Clause 13.3［Variation Procedure］； and/or

（b） Plant， Materials or services to be purchased by the Contractor， from a nominated Subcontractor （as defined in Clause 5 ［Nominated Subcontractors］） or otherwise； and for which there shall be included in the Contract Price：

（i） the actual amounts paid （or due to be paid） by the Contractor， and

（ii） a sum for overhead charges and profit， calculated as a percentage of these actual amounts by applying the relevant percentage rate （if any） stated in the appropriate Schedule. If there is no such rate， the percentage rate stated in the Appendix to Tender shall be applied.

The Contractor shall， when required by the Engineer，produce quotations. invoices， vouchers and accounts or receipts in substantiation.

試譯：13.5暫定金額

每筆暫定金額只應(yīng)當(dāng)按照工程師的指示全部或部分地使用，并且合同價(jià)格作相應(yīng)調(diào)整。支付給承包商的總金額只應(yīng)當(dāng)包括工程師指示的且用于支付與暫定金額有關(guān)的工作、供貨或服務(wù)的款項(xiàng)。對(duì)于每筆暫定金額，工程師可以指示用于下列支付：

（1）將由承包商實(shí)施且需按照第13.3款［變更程序］進(jìn)行估價(jià)的工作（包括需要提供的工程設(shè)備、材料或服務(wù)）；

（2）將由承包商從指定分包商（第5.1款［指定分包商］所定義的）或其他人購(gòu)買(mǎi)的工程設(shè)備、材料或服務(wù)，且所需下列費(fèi)用應(yīng)當(dāng)納入合同價(jià)格：

①承包商已經(jīng)支付（或即將支付）的實(shí)際款額；

②作為管理費(fèi)和利潤(rùn)的金額——按照上述實(shí)際款額的百分比來(lái)計(jì)算：相關(guān)百分比（如有）采用適當(dāng)資料表中載明的百分比；如果沒(méi)有這一相關(guān)百分比，則采用投標(biāo)函附錄中載明的百分比。

當(dāng)工程師要求時(shí)，承包商應(yīng)當(dāng)出示報(bào)價(jià)單、發(fā)票、憑證及賬目或收據(jù)作為證明。

點(diǎn)評(píng)：1．本款主要規(guī)定的是暫定金額的含義、使用目的（for the work， supplies or services to which the Provisional Sum relates）、工程師指示、構(gòu)成暫定金額款項(xiàng)的條件、承包商憑證的出示等內(nèi)容。

2．我們首先著重討論一下Provisional Sums這個(gè)名詞的翻譯問(wèn)題。雖然以前談過(guò)，這里有重申的必要。這不僅僅是純文字問(wèn)題，還涉及權(quán)利義務(wù)范圍問(wèn)題。

第一，應(yīng)注意到，中國(guó)《建設(shè)工程施工合同（示范文本）》（GF——2017——0201）同時(shí)定義了“暫估價(jià)”和“暫列金額”兩個(gè)名詞。

1.1.5.4 暫估價(jià)是指發(fā)包人在工程量清單或預(yù)算書(shū)中提供的用于支付必然發(fā)生但暫時(shí)不能確定價(jià)格的材料、工程設(shè)備的單價(jià)、專業(yè)工程以及服務(wù)工作的金額。

1.1.5.5 暫列金額是指發(fā)包人在工程量清單或預(yù)算書(shū)中暫定并包括在合同價(jià)格中的一筆款項(xiàng)，用于工程合同簽訂時(shí)尚未確定或者不可預(yù)見(jiàn)的所需材料、工程設(shè)備、服務(wù)的采購(gòu)，施工中可能發(fā)生的工程變更、合同約定調(diào)整因素出現(xiàn)時(shí)的合同價(jià)格調(diào)整以及發(fā)生的索賠、現(xiàn)場(chǎng)簽證確認(rèn)等的費(fèi)用。

第二，應(yīng)注意到，國(guó)際工程實(shí)踐中，與此相關(guān)的也有兩個(gè)常見(jiàn)但易混淆的詞：Prime Cost （PC）items和provisional sums（PS）。工程實(shí)踐中，常常存在工程某些項(xiàng)目（items）確定要做且確定要納入合同價(jià)格，但由于種種原因，在招標(biāo)投標(biāo)或者簽訂合同時(shí)，尚未確定這些部分的確切價(jià)格，但又要報(bào)價(jià)，那就暫時(shí)列出一個(gè)估算價(jià)格以便投標(biāo)或簽約時(shí)確定一個(gè)總價(jià)。這個(gè)估價(jià)通常就是provisional sums。工程實(shí)踐中，還可能存在另外一種情形，在招標(biāo)投標(biāo)或者簽訂合同時(shí)，尚未確定某些項(xiàng)目（items）是否最終要做以成為合同標(biāo)的工程的一部分，或者某些專業(yè)工程還在設(shè)計(jì)中，也許未來(lái)不一定就讓當(dāng)前承包商承擔(dān)，發(fā)包人對(duì)此估算一個(gè)價(jià)格并納入當(dāng)下合同總價(jià)；此時(shí)這個(gè)估價(jià)就是Prime Cost Sums，相應(yīng)的項(xiàng)目就是Prime Cost Items。

第三，這么說(shuō)來(lái)，provisional sums和prime cost sums剛好對(duì)應(yīng)了中國(guó)示范文本中的“暫估價(jià)”“暫列金額”了。也有人將prime cost items譯成“預(yù)備費(fèi)用項(xiàng)目”的，可作參考——prime，初始階段的，初期的；以“預(yù)備”譯之，包含了“最終可能并不實(shí)際完成”的意思。

第四，F(xiàn)IDIC1999放棄區(qū)分provisional sums和prime cost items（or sums），當(dāng)然就無(wú)prime cost items定義了；即使其對(duì)provisional sums的定義，也不是內(nèi)涵式的，而是外延式的，也即采用通過(guò)其他條款Sub-Clause 13.5 ［Provisional Sums］列舉方式來(lái)定義的（有人干脆認(rèn)為那根本屬于循環(huán)定義），其列舉中可能包含prime cost items。因此，本文沒(méi)有采用中國(guó)示范文本中“暫估價(jià)”來(lái)對(duì)譯，而采用了有關(guān)文獻(xiàn)中使用的“暫定金額”來(lái)對(duì)譯，以示區(qū)別。

3．實(shí)踐中，包含在合同價(jià)格中暫定金額項(xiàng)目下的具體金額，通常由業(yè)主（或工程師）確定并納入工程量表發(fā)給投標(biāo)人。如果暫定金額下的項(xiàng)目屬于中國(guó)示范文本中的“暫列金額”，工程實(shí)施過(guò)程中可能就此項(xiàng)目進(jìn)行招標(biāo)；一般地，擬采用的招標(biāo)程序應(yīng)當(dāng)與當(dāng)前合同招標(biāo)程序相似；無(wú)論如何，承包商都應(yīng)當(dāng)受到邀請(qǐng)參與投標(biāo)。

原文2：13.6 Daywork

For work of a minor or incidental nature， the Engineer may instruct that a Variation shall be executed on a daywork basis. The work shall then be valued in accordance with the Daywork Schedule included in the Contract， and the following procedure shall apply.If a Daywork Schedule is not included in the Contract， this Sub-Clause shall not apply.

Before ordering Goods for the work， the Contractor shall submit quotations to the Engineer. When applying for payment， the Contractor shall submit invoices， vouchers and accounts or receipts for any Goods.

Except for any items for which the Daywork Schedule specifies that payment is not due， the Contractor shall deliver each day to the Engineer accurate statements in duplicate which shall include the following details of the resources used in executing the previous day’s work：

（a） the names， occupations and time of Contractor’s Personnel，

（b） the identification， type and time of Contractor’s Equipment and Temporary Works， and

（c） the quantities and types of Plant and Materials used.

One copy of each statement will， if correct， or when agreed，be signed by the Engineer， and returned to the Contractor. The Contractor shall then submit priced statements of these resources to the Engineer， prior to their inclusion in the next Statement under Sub-Clause 14.3 ［Application for Interim Payment Certificates］.

試譯：13.6計(jì)日工作

對(duì)于非主要的零星工作，工程師可以指示按照計(jì)日工作實(shí)施變更。此類(lèi)工作應(yīng)當(dāng)按合同包含的計(jì)日工作報(bào)表進(jìn)行估價(jià)，下述程序得以適用。如果合同中不含計(jì)日工作報(bào)表，則本款不適用。

在訂購(gòu)工程所需貨物時(shí)，承包商應(yīng)當(dāng)向工程師提交報(bào)價(jià)單。當(dāng)申請(qǐng)支付時(shí)，承包商應(yīng)提交貨物的發(fā)票、憑證及賬目或收據(jù)。

除計(jì)日工作報(bào)表中規(guī)定支付尚未到期的項(xiàng)目以外，承包商應(yīng)當(dāng)每日向工程師提交準(zhǔn)確報(bào)表，一式兩份，包含前一日工作時(shí)使用的資源的下列詳細(xì)資料：

（1）承包商員工的姓名、工種和使用時(shí)間；

（2）承包商的設(shè)備和臨時(shí)工程的標(biāo)識(shí)、型號(hào)和使用時(shí)間；

（3）使用的工程設(shè)備和材料的數(shù)量和型號(hào)。

如果內(nèi)容正確或經(jīng)同意，工程師將簽署并退還承包商一份報(bào)表。在將上述資源納入依據(jù)第14.3款［申請(qǐng)期中支付證書(shū)］提交的報(bào)表之前，承包商應(yīng)當(dāng)向工程師提交它們的價(jià)格報(bào)表。

點(diǎn)評(píng)：1．本款是關(guān)于計(jì)日工作估價(jià)依據(jù)、承包商提交購(gòu)買(mǎi)物件的報(bào)價(jià)單和證明、承包商提交所用資源的證明、報(bào)表的確認(rèn)等內(nèi)容。

2．承包商一般很樂(lè)意使用計(jì)日工作的形式來(lái)完成相應(yīng)工作，計(jì)日工作單價(jià)和所使用的其他資源的價(jià)格通常包含了較高的利潤(rùn)。因此，此處也容易引起糾紛，承包商要特別注意此類(lèi)工作通常限于非主要的零星工作work of a minor or incidental nature；當(dāng)計(jì)日工作引起的變更Variation工作量非常大時(shí)或者涉及工程主要部分時(shí)，承包商最好能夠核實(shí)工程師權(quán)限，以免日后引起糾紛?；跈?quán)利與義務(wù)的平衡，為了防止不友善的承包商濫用計(jì)日工作條款，工程師也應(yīng)當(dāng)特別注意核實(shí)承包商在計(jì)日工作中使用的勞動(dòng)力數(shù)量及材料、設(shè)備數(shù)量。

至此，F(xiàn)IDIC1999施工合同文本Conditions of Contract for Construction中的13. Variations and Adjustment“13變更和調(diào)整”條款中還有13.7Adjustments for changes in Lesgislation（法規(guī)變化引起的調(diào)整）、13.8 Adjustments for Changes in the Cost（成本變化引起的調(diào)整）兩個(gè)子款尚未討論。限于篇幅，本文擬留給讀者自行檢索相關(guān)文獻(xiàn)、完成翻譯，并體會(huì)其中涉及的語(yǔ)言、法律和工程問(wèn)題。
